General Terms and Conditions for the supply of products available on the online shop (version as of 05/2022)

Scope of application

The following General Terms and Conditions (hereinafter referred as “GTC”) shall govern all purchase agreements that Customer have concluded through the online shop https://shop.fludia.com with FLUDIA, a company whose registered address is 37 Avenue Edouard Vaillant, Suresnes 92150, France, registered in the commercial register of RCS Nanterre under the number B442 854 147 (hereinafter referred as “Supplier”). 

The Customer can be a legal person or legal private company (with a stated VAT identification number) or a consumer. It’s every Customer’s responsibility to read and understand the “GTC” before to place a purchase order and therefore to agree to the following “GTC”.

General

The purchase agreement is relating to electronic products designed for monitoring energy consumption. 

This online shop presents a selection of Plug & Play connected sensors able to measure and collect energy consumption data on general meters in a non-intrusive manner without any need to have access to the electrical installation (e.g. electrical cable, electrical panel...).

The purchase process takes place via the online shop https://shop.fludia.com as follows:

  • The selected products are moved to the shopping cart. A quantity of maximum 10 units is chosen by using the appropriate buttons.
  • During the “Checkout” step, the Customer enters all necessary information for payment and shipping conditions. If the Customer is a legal entity, he shall fill his VAT identification number. It’s important that the Customer undertakes to provide only true and correct information as this will then affect the payment to be made with or without VAT.
  • By clicking the appropriate button “Place the order”, the Customer declare acceptance of the order in a legal binding way by which this agreement takes place.
  • The payment is made by credit card (VISA, Mastercard). The debit is made when the order is validated on the condition of having obtained prior authorization to debit the account from the authorized payment center. Our service provider (Crédit Mutuel/Monetico) currently offers all the functions needed to manage a secure Internet payment acquisition service.

The purchase and shipping of products is only offered within the countries of the European Union and certain other neighboring countries, as indicated below:

  • European Union countries: Germany, France, Austria, Belgium, Bulgaria, Cyprus, Croatia, Denmark, Spain, Estonia, Finland, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Czech Republic, Romania, Slovakia, Slovenia, Sweden
  • French overseas territories (Guadeloupe, Guyane Française, Martinique, Mayotte, Réunion, Saint-Barthélemy, Saint-Martin, Saint-Pierre-et-Miquelon)
  • Others countries: Andorra, Monaco, Norway, United Kingdom, Switzerland 

Deliveries conditions

The estimated delivery time of the purchase order is based on the availability of all individual items in this order. Part deliveries are not supported and all items will be delivered in one parcel.

The products delivery is handled by the carrier Chronopost to the address indicated by the Customer. An e-mail including the tracking number of the package is sent to the Customer as soon as the package is taken over by the carrier. 

If the address given by the Customer is inaccurate or if the Customer does not collect the parcel within the  period indicated by the carrier, the Supplier may be required to invoice a new shipment. 

Delivery times are given for information only. If these exceed the indicated delivery time by thirty days, this order may be cancelled and the Customer refunded. The Customer is required to check, in the presence of the carrier, the condition of the packaging of the goods and its contents on delivery. The Customer undertakes to refuse receipt of any damaged package and to file a complaint with the carrier within two days from the date of delivery.

Prices, payment and shipping costs

The prices of the products are indicated in Euros on the online store under two formats: without VAT and with VAT.

They are not including the shipping cost which is separately charged on the basis of the weight of the parcel and the area of dispatch provided by our carrier (choosing chronopost). For example, Germany is positioned in Area 1 while Poland is in Area 3 and Switzerland in area 4.

For a Customer acting as a consumer, the payment will include VAT.

For other Customer acting as a legal entity, the payment will exclude VAT. In this case, the Customer shall indicate his VAT identification number in the personal data on the online store. Then, he shall declare and  pay this amount of VAT directly to the tax office of his country.

Warranty and support service

Warranty: The warranty period shall last two years from the delivery of the products. This warranty do not cover damage of external origin or resulting from improper use of the product. In case of defects, the Supplier provides warranty through repair or replacement at its own discretion. 

All complaints, requests for exchange must be made by sending an e-mail to shop@fludia.com with the subject “product warranty”.

Support service: The Customer can also formulate his request to the Supplier by sending an e-mail to the address shop@fludia.com with the subject "product request" and explaining the context of the difficulty observed.

Intellectual Property

The supply of product to the Customer by the Supplier does not entail any transfer or concession of the  Supplier's intellectual property rights to the Customer. The technology and know-how, whether patented or not, incorporated into the product as well as all the industrial and intellectual property rights relating to the product, are and remain the exclusive property of the Supplier. The Customer undertakes not to disassemble the product and not to interact in any way with it, beyond the manipulations explicitly proposed by the Supplier. In particular, concerning the software integrated into the product, the Customer undertakes not to decompile, not to carry out “reverse engineering”, or to interfere with or modify the code in any way whatsoever.

Personal data

The Customer guarantees that the data communicated to the Supplier when ordering is accurate and complete. The Supplier attaches great importance to the management and protection of the Customer's personal data in accordance with the general regulation on the protection of personal data (GDPR).

For any question, the Customer can also formulate his request to the Supplier by sending an e-mail to the address shop@fludia.com with the subject "personal data ".

Applicable Law

These GTC are governed by French law.  Except in an emergency, the Customer and the Supplier will endeavor to settle their dispute amicably. Failing agreement within two months following the request of the most diligent party, the parties may refer to the competent court according to the legal provisions in force. In the absence of legal provisions attributing jurisdiction to another jurisdiction, the courts of Paris will be competent to hear any disputes.
